UNIVERSAL TERMS OF SERVICE

1. PAYMENT & FEES

  • Accepted Payment Method: International payments are accepted exclusively via international bank transfer (Wire Transfer) using the IBAN details provided by the Designer. Transfers may be processed through the Client’s bank using the SWIFT/BIC network when applicable.

  • Client-Side Fees: Any fees charged by the Client’s bank, intermediary banks, or payment provider are the responsibility of the Client. The Designer must receive the full invoiced amount.

  • Pricing: All service rates are quoted inclusive of the Designer’s standard receiving and processing costs.

  • Payment Terms: Full payment must be completed by the due date stated on the invoice. Work will begin only after payment confirmation.

  • Late Payment: No work, revisions, or new requests will be executed while any payment remains overdue.

  • Refund Policy: All payments made are non-refundable once received, unless otherwise agreed in writing.

2. PAYMENT SCHEDULES & INITIATION

To ensure workflow stability, work will not commence until the required payment is confirmed.

  • 100% Advance Payment: Required for Monthly Credit Packages, Consultations, and Mascot Add-ons.

  • 50/50 Deposit Structure: Required for Brand Identity, Initial Mascot Creation, Websites, and Large-Scale Projects (Books, Card Sets, Print, etc..). A non-refundable 50% deposit is due to start; the remaining 50% is due upon final concept approval and strictly before delivery of high-resolution files.

  • Agreement by Payment: Payment of any invoice constitutes full legal acceptance of these Terms & Conditions.

3. DELIVERY & FILE SHARING

  • To maintain a streamlined workflow across all devices, Dropbox is the only accepted method for file sharing and asset uploads.

  • The Designer will provide a dedicated shared Dropbox folder. 

  • The Designer will not accept delivering files via Google Drive, iCloud, OneDrive, WeTransfer, or email attachments.

  • Clients are responsible for copying delivered files from the Dropbox folder to their own local storage/drives.

4. REVISIONS

  • Consolidated Feedback: Revisions must be provided in a clear, consolidated manner.

  • Limits: Revisions are included as long as they align with the original brief. Excessive revisions or "Scope Creep" (requests outside the original brief) will incur additional credit charges or a separate fee.

5. STORAGE & ARCHIVING

  • Client Responsibility: It is the Client’s sole responsibility to download and backup all delivered assets.

  • 6-Month Window: The Designer will host files in the shared Dropbox folder for a maximum of 6 months. After this period, files may be deleted to clear space. The Designer is not liable for lost files after this 6-month window.

6. SOURCE FILE & DELIVERABLES 

  • Source Files: Where included in the purchased service, editable Affinity source files (.afdesign) will be delivered upon final completion and full payment.

  • Service-Specific Deliverables: File types and outputs depend on the selected service or package tier. Not all services include editable source files, vector formats, print-ready files, or design deliverables.

  • Software Limitation: Adobe-native files (.AI, .PSD, .INDD, .AE, etc.) are not included in any package and/or service.

7. TIMELINES & DELAYS

  • Project timelines depend on timely communication and approvals. Delays caused by missing materials, slow feedback, or inactivity may shift delivery dates.

  • Final approved deliverables become licensed to the Client for agreed business use upon full payment. Preliminary concepts, unused drafts, and working files remain property of the Designer unless otherwise agreed.

8. INTELLECTUAL PROPERTY & ETHICAL LICENSING

  • Usage Rights: Upon receipt of final payment, the Client is granted a license to use the designs for commercial and promotional purposes.

  • Ethical Revocation: This license is automatically deemed null and void if the designs are used to promote animal cruelty, human rights violations, or targeted harassment/hate speech.

  • Portfolio Rights: The Designer reserves the right to display all work (including drafts and sketches) in her professional portfolio, social media, and marketing.

  • Privacy Buyout: If a Client requires the work to remain confidential/unpublished, a Privacy Buyout Fee of 40% of the total project value will be applied.

  • Portfolio Usage: Unless covered by a separate NDA, the Designer may display completed work for self-promotion, portfolio, website, awards, or social media.

9. SUSPENSION & TERMINATION 

The Designer may pause or terminate services in cases of abusive conduct, repeated non-payment, unlawful requests, or material breach of these terms.

10. RESULTS DISCLAIMER

All services are provided to offer professional creative support, strategy, design, and guidance; however, no specific commercial, marketing, financial, or growth results are guaranteed. Outcomes depend on many factors beyond the Designer’s control, including implementation quality, business decisions, market conditions, timing, consistency, budget, competition, and audience response.

11.PROJECT ACCEPTANCE & RIGHT TO DECLINE

The Designer reserves the right to accept, refuse, pause, or discontinue inquiries or projects at their sole discretion.

Not every project or client relationship is the right fit. If the Designer believes a request falls outside their strongest area of expertise, creative direction, availability, values, or ability to deliver the highest standard of work, the project may be declined.

Where appropriate, the Designer may still offer consulting or strategic guidance even when full design execution is not accepted.

12. REQUESTS, QUEUE & TURNAROUND TIMES

  • All requests are scheduled according to the Designer’s active workload, queue, and availability.

  • The Designer works with multiple clients and does not provide exclusive on-demand or same-day availability unless previously agreed.

  • Delivery timelines are estimates and may vary depending on scope, complexity, revisions, and current workload.

  • Urgent, last-minute, or same-day requests are subject to availability and may be declined or charged at a rush rate.

  • Any new request, extra revision, update, or “small quick change” outside the agreed scope will be billed at the current hourly rate.

  • A minimum charge of one full hour applies to all hourly requests, even if completed in less time.

  • 1. SCOPE OF SERVICES & DELIVERY

    • Project Definition: This project includes only the deliverables specifically defined in the initial quotation.

    • Final Delivery: Once approved and paid in full, final files will be delivered in the professional formats specified in the project brief.

    • Role Clarification: My role is to develop the Brand Strategy and Core Visual Assets. This project does not include ongoing or daily design production. The files provided are structured to give your team or future designers the flexibility to create new materials using the established brand foundation.

    • Additional Requests: Requests for new formats, resizing, or extra assets after final delivery are not included and will be quoted separately or handled via a Monthly Credit Package.

    2. PROMOTION & PORTFOLIO RIGHTS

    • Self-Promotion: The Designer reserves the right to publish, display, and share all work produced (including sketches and final results) on her website, social media, marketing materials, and professional portfolio.

    • Confidentiality / Privacy Buyout: If the Client requires the work to remain private and not be used in the Designer's portfolio, a Privacy Buyout Fee will be applied.

      • Standard Buyout Fee:40% of the total project value.

      • This fee compensates the Designer for the loss of marketing potential and the inability to use the work to attract new business.

  • 1. SERVICE OVERVIEW

    Strategic advisory for brand positioning and creative direction. This is a consultative service only and does not include design execution, implementation, or copywriting.

    2. PRE-CALL DEEP DIVE BRIEFING

    The Client must complete a questionnaire and provide all brand materials (links, assets, files) at least 5 business days before the session. Failure to provide materials may result in rescheduling or a less detailed analysis.

    3. LIVE CONSULTING SESSION

    Includes one 60-minute video call. Topics are tailored to your needs and may cover brand positioning, messaging, visual direction, growth strategy, audience alignment, competitive perception, creative decision-making, etc…

    The session is collaborative, strategic, and tailored to the Client’s current stage and goals.

    4. CUSTOM PDF SUMMARY

    A custom PDF summary will be delivered within 5 business days post-call. It outlines strategic priorities, insights, and actionable next steps discussed during the session.

    The exact contents vary based on the needs of each client.

    5. CLIENT RESPONSIBILITIES

    Decisions: The Client is responsible for all final business decisions and implementation after the consult.

    6. RESCHEDULING & NO-SHOWS

    Cancellations or rescheduling require 48 hours' notice. No-shows or late cancellations may result in forfeiture of the session or a rebooking fee.

    7. INTELLECTUAL PROPERTY

    Ownership: All frameworks and strategic models remain the Designer’s Intellectual Property. Recommendations are for the Client's internal use only.

  • 1. PLATFORM & FEES

    • Squarespace Only: Websites are built exclusively on Squarespace.

    • Third-Party Costs: The Client is responsible for all external fees (Squarespace subscriptions, domains, plugins, and stock assets).

    • Developer Collaboration: If an external developer is required, the Designer’s fee remains unchanged due to the increased coordination and complexity.

    2. ASSETS & CONTENT

    • Brand Assets: Projects require professional assets (vector logos, fonts, colors). Projects for brands not created by the Designer are accepted only if high-quality files are provided.

    • Client Content: The Client must provide all raw text and messaging. The Designer will refine and optimize this content for clarity and conversion.

    3. SCOPE & DELIVERY

    • Inclusions: All sites include mobile-responsive optimization and basic on-page SEO (meta titles/descriptions, keyword placement).

    • Exclusions: Custom coding, advanced SEO campaigns, and advertising management are not included unless separately quoted.

    • Timelines: Delivery dates depend on the Client’s speed in providing content and approvals.

    4. STRATEGIC COPYWRITING

    • Inclusion: Strategic copywriting is included in website and branding projects. The Designer does not just "place text," but structures messaging to drive engagement and conversion.

    • Collaboration: While the Client provides the raw business facts and core information, the Designer will refine, rewrite, and optimize the copy to ensure it aligns with the brand’s voice and goals.

    • Final Approval: The Client is responsible for the final review of all copy for factual and legal accuracy before publication.

  • 1. THE CREDIT SYSTEM 

    • LOR Designs Only: Monthly Credit Packages are available exclusively for brands, identities, or visual systems originally developed by the Designer. Requests for externally created brands are not accepted under the monthly credit model.

    • Definition: Services are billed in Credits according to the current Service Menu.

    • Evaluation: The Designer reserves the right to classify each request into the appropriate Credit Tier (Grey, Green, Blue, etc.) based on scope, complexity, and production time prior to execution.

    • Scope: This is an execution-focused design service intended for ongoing creative production. It does not include campaign strategy, copywriting, naming, brand strategy, or full branding development unless purchased separately.

    • Delivery Capacity: The number of requests completed each week depends on request complexity, available Credits, production capacity, and response speed from the Client. Delivery timelines are estimates only and are not guaranteed deadlines.

    • Package Duration: Each monthly package remains active for 30 calendar days from the start date. Unused time does not shorten or extend the billing cycle unless otherwise agreed in writing.

    • Availability: Active client spots are limited. If no slot is available at the time of inquiry, prospective clients may request placement on the waiting list.

    • Design Request Sheet: Prior to the start of work, the Designer will provide a dedicated Google Sheet for project management. All copy, specifications, and assets must be submitted through this sheet. A request is only considered "official" once it is logged here; instructions sent via DM, email, or discussed in calls will not be processed. This ensures all details are tracked accurately and prevents production delays.

    2. BILLING & RESET POLICY 

    • Monthly Reset: Credits are valid only within the active 30-day billing cycle in which they are issued. Unused Credits expire at the end of that cycle and do not roll over into future months.

    • Access: The Design Request Sheet and production queue are activated within 1 business day after payment confirmation.

    • Minimum Term: All packages require a minimum 3-month commitment. Early cancellation is not permitted during this initial term.

    • Renewal: After the initial term, services continue on a month-to-month basis unless cancelled in accordance with these Terms.

    3. CLIENT RESPONSABILITIES

    • Copy & Content: All text, copy, images, logos, brand assets, links, dimensions, and instructions must be supplied by the Client.

    • Complete Submission: Required materials should be provided in full whenever possible to avoid delays, fragmented revisions, or queue disruption.

    • Accuracy: The Client is responsible for reviewing and approving spelling, factual accuracy, legal claims, and final content before publication.

    • Rights: The Client confirms they hold the necessary rights to all materials supplied for use in the project.

    • Monthly Batching: The Client must submit the full "Design Request Sheet" before the 30-day cycle begins. Work starts only after requests are consolidated. Any items added later are subject to "Queue Adjustment" and may be deferred to the following week or month.

    4. REVISIONS

    • Included Revisions: Reasonable revisions are included when directly related to the original request and brief.

    • Submission Standard: Revision requests must be clear, consolidated, and submitted in an organized manner.

    • Scope Changes: Revisions that materially change the original request, require new creative direction, or become excessive may require additional Credits or a separate fee, communicated in advance.

    5. TERMINATION & PRICE ADJUSTMENTS

    • Cancellation: After the initial 3-month commitment, either party may cancel the service with 30 days’ written notice.

    • Suspension: The Designer reserves the right to pause work in cases of overdue payment, abusive conduct, unlawful requests, or material breach of these Terms.

    • Annual Adjustments: To reflect market standards, increased expertise, and inflation, package pricing may be adjusted annually beginning January 1st of each calendar year.

    • Notice of Change: Existing clients will receive at least 30 days’ notice of any pricing adjustments before renewal or implementation. Continued payment after the notice period constitutes acceptance of the updated rates.


    6. SOURCE FILES & DELIVERABLES

    Deliverable formats are determined by the Credit Tier assigned to each request. Each tier includes file outputs based on complexity and intended usage.

    • Grey — 1 Credit: PNG / JPG digital export only.

    • Green — 2 Credits: PNG / JPG / WEBP digital export only.

    • Blue — 3 Credits: PNG / JPG / WEBP + one vector format of choice (EPS or PDF).

    • Purple — 4 Credits: PNG / JPG / WEBP + EPS + print-ready PDF.

    • Orange — 5 Credits: PNG / JPG / WEBP + EPS + SVG + print-ready PDF.

    • Gold — 6+ Credits: PNG / JPG / WEBP + EPS + SVG + print-ready PDF.

    Where a request falls under a tier that does not include vector or extended formats, upgraded deliverables may be added upon request for additional Credits or a separate fee, subject to suitability and approval.

    Editable working/source files are not automatically included unless explicitly stated in the selected package or separately approved in writing.

    Adobe-native files (.AI, .PSD, .INDD, .AE, etc.) are not included.
